Terms and Conditions

Please read these terms carefully before using Offisi. By accessing or using our platform, you agree to be bound by these terms.
1. Definitions
“Platform” refers to the Offisi web application, mobile interfaces, APIs, and all related services operated by Offisi.
“User,” “you,” or “your” refers to any individual or entity that accesses or uses the Platform.
“Modules” refers to the individual functional components available on the Platform, including but not limited to CRM, invoicing, inventory, and helpdesk tools.
“Subscription” refers to the active modules and associated pricing plan selected by the User.
“Content” refers to any data, text, files, or materials uploaded to or created within the Platform by the User.
2. Account Registration
To use the Platform, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials.
You must be at least 18 years old or the age of majority in your jurisdiction to create an account. If you are registering on behalf of an organization, you represent that you have authority to bind that organization.
Offisi reserves the right to suspend or terminate accounts that contain false information or violate these terms.
3. Use of the Platform
Offisi grants you a limited, non-exclusive, non-transferable license to access and use the Platform for your internal business purposes, subject to these terms.
You may invite team members to your workspace. Each user must have their own account. Account sharing is not permitted.
You agree to use the Platform in compliance with all applicable laws and regulations in your jurisdiction.
4. Modular Subscription and Billing
Offisi operates on a modular, pay-as-you-go pricing model. You select and pay only for the modules you activate.
You may add or remove modules at any time. Adding a module activates billing for that module immediately. Removing a module stops billing at the end of the current billing cycle.
There are no lock-in contracts. You may downgrade or cancel your subscription at any time without penalty.
5. Payment Terms
Payments are processed through Mpesa, Airtel Money, credit/debit cards, or bank transfer as available in your region. All prices are displayed in the currency applicable to your account.
Subscriptions are billed monthly or annually, depending on your selected plan. Payment is due at the start of each billing cycle.
If payment fails, Offisi will attempt to collect payment for up to 7 days. If payment remains unsuccessful, your account may be downgraded or suspended until payment is resolved.
6. Data Ownership and Privacy
You retain full ownership of all Content you upload to or create within the Platform. Offisi does not claim any ownership rights over your data.
Offisi processes your data solely to provide and improve the Platform. We do not sell, rent, or share your data with third parties for their marketing purposes.
Data handling practices are detailed in our Privacy Policy, which forms part of these terms. By using the Platform, you consent to the collection and use of data as described in the Privacy Policy.
7. Intellectual Property
The Platform, including its design, code, features, documentation, and branding, is the intellectual property of Offisi and is protected by applicable copyright, trademark, and other laws.
You may not copy, modify, distribute, reverse engineer, or create derivative works based on the Platform without prior written consent from Offisi.
Any feedback, suggestions, or feature requests you provide may be used by Offisi to improve the Platform without obligation to you.
8. User Responsibilities
You are responsible for all activity that occurs under your account, including actions taken by team members you invite.
You must keep your login credentials secure and notify Offisi immediately if you suspect unauthorized access to your account.
You are responsible for ensuring that your use of the Platform complies with applicable laws, including data protection, tax, and employment regulations.
9. Prohibited Uses
You may not use the Platform to store, transmit, or distribute content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.
You may not attempt to gain unauthorized access to the Platform, other user accounts, or Offisi systems.
You may not use the Platform to send unsolicited communications (spam), distribute malware, or conduct any activity that disrupts the Platform or its users.
10. Service Availability and Uptime
Offisi strives to maintain 99.9% uptime for the Platform. However, we do not guarantee uninterrupted access and may perform scheduled maintenance with advance notice.
Offisi is not liable for downtime caused by factors outside our control, including internet outages, third-party service failures, or force majeure events.
In the event of extended unplanned downtime, Offisi will communicate updates through email and our status page.
11. Third-Party Integrations
The Platform offers integrations with third-party services such as payment processors, accounting tools, and cloud storage providers. These integrations are provided for convenience.
Offisi is not responsible for the performance, availability, or data practices of third-party services. Your use of third-party integrations is subject to their respective terms and policies.
Offisi may add, modify, or discontinue third-party integrations at any time.
12. Limitation of Liability
To the maximum extent permitted by law, Offisi shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
Offisi’s total liability for any claim related to the Platform shall not exceed the amount you paid to Offisi in the 12 months preceding the claim.
This limitation applies regardless of the legal theory on which the claim is based, whether in contract, tort, negligence, strict liability, or otherwise.
13. Indemnification
You agree to indemnify and hold harmless Offisi, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, your violation of these terms, or your violation of any rights of a third party.
Offisi will notify you promptly of any such claim and cooperate with your defense. Offisi reserves the right to assume exclusive defense of any matter subject to indemnification.
14. Termination
You may terminate your account at any time by contacting Offisi support or through your account settings. Upon termination, your access to the Platform will end at the close of your current billing cycle.
Offisi may suspend or terminate your account if you violate these terms, fail to pay fees, or engage in activity that harms the Platform or other users. Offisi will provide notice before termination except in cases of serious violation.
Upon termination, you may request an export of your data within 30 days. After 30 days, Offisi may delete your data in accordance with our data retention policies.
15. Modifications to Terms
Offisi may update these terms from time to time. We will notify you of material changes by email or through the Platform at least 14 days before the changes take effect.
Your continued use of the Platform after changes take effect constitutes acceptance of the updated terms. If you do not agree with the changes, you may terminate your account before the effective date.
16. Governing Law and Disputes
These terms are governed by the laws of the Republic of Kenya. Any disputes arising from these terms or your use of the Platform shall be resolved through the courts of Nairobi, Kenya.
Before initiating formal proceedings, both parties agree to attempt resolution through good-faith negotiation. If negotiation fails, disputes may be submitted to mediation before proceeding to court.
